Audio Demo License Agreement

This License Agreement (the “Agreement”) is entered into as of the date of receipt of the demo audio files (“Effective Date”) between Your Company Name and the recipient of the demo audio files (“Licensee”).

1. Grant of License
   Licensor grants Licensee a non-exclusive, non-transferable, revocable license to use the watermarked demo audio files (“Demo Audio”) solely for evaluation purposes. Licensee may use the Demo Audio to assess its suitability for their intended project, but Licensee may not use the Demo Audio in any commercial or personal project.
2. Restrictions
   Licensee agrees not to:

• Use the Demo Audio in any commercial or personal project.
• Distribute, sell, lease, license, or otherwise make the Demo Audio available to any third party.
• Remove or attempt to remove the watermark from the Demo Audio.
• Modify or create derivative works based on the Demo Audio.

1. Mechanical Rights
   This Agreement does not grant Licensee any mechanical rights. Mechanical rights must be obtained separately for any reproduction of the Demo Audio in any tangible medium.
2. Performance Rights
   This Agreement does not grant Licensee any performance rights. Performance rights must be obtained separately for any public performance, broadcast, or transmission of the Demo Audio.
3. Synchronization Rights
   This Agreement does not grant Licensee any synchronization rights. Synchronization rights must be obtained separately for any use of the Demo Audio in timed relation with visual images.
4. Broadcast Rights
   This Agreement does not grant Licensee any broadcast rights. Broadcast rights must be obtained separately for any radio, television, internet, or other types of broadcast of the Demo Audio.
5. Termination
   This Agreement will terminate automatically if Licensee breaches any of its terms. Upon termination, Licensee must cease all use of the Demo Audio and delete all copies in its possession.
6. Disclaimer of Warranties
   The Demo Audio is provided “as is” without any warranties, express or implied, including but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement.
7. Limitation of Liability
   In no event shall Licensor be liable for any damages arising out of or in connection with the use or inability to use the Demo Audio, including but not limited to direct, indirect, incidental, punitive, and consequential damages.
8. Indemnification
   Licensee agrees to indemnify and hold Licensor harmless from and against any and all claims, losses, damages, costs, expenses, including, without limitation, reasonable attorney’s fees, arising out of or resulting from a claimed breach of any of Licensee’s representations, warranties, or agreements hereunder.
9. Governing Law
   This Agreement shall be governed by and construed in accordance with the laws of [Your State/Country], without regard to its conflict of laws principles.

By using the Demo Audio, Licensee acknowledges that they have read, understood, and agree to be bound by the terms of this Agreement.
